1. Who we are

These terms govern your use of hdnywholesale.com and any order you place through it. "We" and "us" means hdnywholesale, Brooklyn, New York. "You" means the business placing the order.

2. Trade sales only

This is a wholesale catalogue. Products are sold to businesses for resale — repair shops, kiosks, phone stores and online resellers. By placing an order you confirm you are buying in the course of a business and not as a consumer. We may decline or cancel any order where that does not appear to be the case.

3. Accounts and pricing

Wholesale pricing is visible only to signed-in account holders. Opening an account is free and prices appear across the catalogue as soon as you sign in. You are responsible for keeping your account credentials secure and for any order placed through your account.

Prices shown are per unit in US dollars, exclusive of sales tax and shipping. Suggested retail figures shown alongside your cost are a guide only — you set your own counter price.

4. Orders

An order placed through the site is an offer to buy. A contract is formed when we confirm and dispatch the order, not when the order is submitted. We may decline an order or part of it, in which case you are not charged for the declined portion.

The minimum order is $100 across any mix of products. There is no minimum per SKU beyond a single piece.

5. Pricing errors

Prices and stock levels are maintained carefully but errors happen. Where a product is listed at an obviously incorrect price, we will contact you before dispatch and you may confirm at the corrected price or cancel without charge.

6. Payment

Orders are prepaid at checkout unless credit terms have been agreed in writing. Where terms are agreed, invoices are due on the agreed date and we may suspend further shipments on overdue accounts.

7. Sales tax and resale certificates

Sales tax applies unless a valid resale certificate for your state is on file with us. It is your responsibility to supply a current certificate and to tell us when it changes or expires. Tax will apply to orders placed while no valid certificate is on file.

8. Stock and substitutions

Stock figures reflect our warehouse at the time of viewing. Where an item sells out between order and picking we will contact you and either short-ship, hold, or cancel that line — we do not substitute a different SKU without asking.

9. Title and risk

Risk passes to you on delivery. Title passes when payment has cleared in full.

10. Warranty

Products are covered for manufacturing defects as set out in our Return and refund policy. Beyond that, goods are supplied as-is and we make no further warranty, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

11. Resale conduct

You may resell products under your own terms. You may not present yourself as an agent, distributor or authorised representative of hdnywholesale, and you may not use our name, images or branding to imply an affiliation we have not agreed to in writing.

12. Intellectual property

Product images, descriptions, design codes and site content belong to us or our suppliers. You may use product images to resell the goods you have bought from us. Any other use requires our permission.

13. Limitation of liability

To the extent permitted by law, our total liability for any order is limited to the amount you paid for the goods in question. We are not liable for lost profits, lost sales, or other indirect or consequential losses.
